Terms of Service

These terms are between Image Depot LLC ("we", "us") and the organization or person that uses CM Chat ("you"). By using CM Chat you agree to them. If you use CM Chat for an organization, you confirm that you can bind it, and "you" includes that organization (the "Customer").

1. The service

CM Chat is a team messaging service with channels, direct messages, threads, files, search and administration tools. Each Customer has its own workspace on its own web address. Features change over time. Anything we describe as coming soon or on the way is not a promise that it will be available.

Workspaces and accounts are created by invitation. A workspace owner or admin invites each person.
You sign in with a one-time code sent to your email. Workspace owners can also require a second step for everyone, such as a passkey or an authenticator app, and administrator actions always need one.
Give us accurate information. Keep your sign-in methods, recovery codes and invitation links private. You are responsible for activity on your account, and you must tell us promptly if you think someone else has used it.
Customers are responsible for the people they invite, the roles they assign and the settings they choose, including who may connect from which countries and how long messages are kept.

3. Your content

You and your organization own your content. You give us a limited right to store, copy, process, transmit and display it only as needed to run, secure and support CM Chat for you. You are responsible for your content and for having the right to share it. We do not use your content for advertising and we do not sell it.

4. Acceptable use

You must follow the Acceptable Use Policy. We may remove content or suspend access to protect CM Chat, its users or the public.

5. Security and privacy

We protect your content as described on our Security page and in our Privacy Policy. CM Chat uses industry-standard encryption in transit and at rest. Detailed security documentation is available on request: security@cmchat.app. It is not end-to-end encrypted, which means our systems process message content in order to deliver it, search it and support administration. You are responsible for deciding whether CM Chat suits the information you put in it. Do not store regulated data, such as health records or payment card numbers, unless we have agreed to that in writing.

6. Deleting data

Permanently deleting a channel or a workspace cannot be undone. We cannot recover deleted data. Copies in backups expire on the schedule described in the Privacy Policy and cannot be used to restore deleted data.

7. Fees

CM Chat is offered by invitation. Any fees, billing terms and plan limits are agreed with you in writing or in an order form before they apply. We will not charge you without that agreement.

8. Suspension and termination

You may stop using CM Chat at any time, and a Customer's owner may ask us to delete its workspace. We may suspend or end access if you breach these terms, if you do not pay agreed fees, or if your use is a security risk or harms others. Where we reasonably can, we will tell the workspace owner first. When a workspace ends, we delete its data as described in the Privacy Policy.

9. Availability

We work to keep CM Chat reliable, but we do not promise that it will be uninterrupted or error free. We may change, add or remove features.

10. Disclaimers

To the fullest extent the law allows, CM Chat is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

11. Limit of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for all claims about CM Chat is limited to the greater of the fees you paid us in the 12 months before the claim and one hundred US dollars.

12. Indemnity

You will defend and compensate us against claims, losses and costs that arise from your content or from your breach of these terms, to the extent the law allows.

13. Changes to these terms

We may update these terms. We will change the effective date when we do, and we will tell Customers in advance of material changes. Using CM Chat after a change means you accept it.

14. Governing law

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. The state and federal courts located in Texas have exclusive jurisdiction over disputes about these terms, except where the law requires otherwise.
